DELLI AI — Terms of Service

Version 1.0 · Effective 27 October 2026

Key points

This summary is not part of the Terms. Please read them in full.

1. About these Terms

1.1 Who we are. DELLI AI is provided by DELLI Limited (DELLI, we, us), a company registered in England and Wales with company number 13063011, whose registered office is at 9th Floor, 107 Cheapside, London EC2V 6DN. Our VAT number is GB367457165.

1.2 Accepting these Terms. These Terms of Service (the Terms) form a contract between DELLI and the business that uses DELLI AI (you). You accept them when you create an account (our sign-up page tells you that doing so accepts these Terms), sign an Order Form, or start a paid plan, whichever happens first. If you accept for a business, you confirm you have authority to bind it.

1.3 Businesses only. DELLI AI is only for businesses. You confirm that you are using it for your trade, business or profession and not as a consumer, so consumer protection law, including the Consumer Rights Act 2015, does not apply.

1.4 The documents that make up our agreement. Our agreement with you (the Agreement) is made up of: any order form, proposal or offer we agree with you in writing (an Order Form); our Data Processing Addendum (the DPA); these Terms; and the plan details shown in DELLI AI when you choose a plan, which set out our plans, prices and how orders are counted (the Plan Details). If they conflict, they apply in that order, except that the DPA prevails on the processing of personal data.

1.5 Other DELLI services. The delli.market marketplace, Discovery Hub and DELLI Growth have their own terms. Using DELLI AI does not list you on our marketplace, and does not make us a buyer, seller, distributor or agent for your products.

1.6 Previous versions. Each version of these Terms shows when it was last updated. Earlier versions are available at delli.ai/legal.

2. Your account

2.1 Signing up. To use DELLI AI you need an account. You must confirm your email address and give us accurate, complete information, and keep it up to date, including your business name, billing address and VAT number.

2.2 One free evaluation per business. Each business can have one free evaluation. We may refuse a further evaluation to a business that has already had one, identified by its website or email domain, payment details or other reasonable means. We may also refuse or close any sign-up we reasonably believe is false, duplicated or automated.

2.3 Your team. You can invite your staff and contractors to use your account (Users). Unless your plan says otherwise, there is no limit on the number of Users. You are responsible for everything your Users do in DELLI AI as if you had done it yourself, and you must remove a User's access when they no longer need it.

2.4 Administrators. The person who signs up becomes the first administrator of the account, and can make other Users administrators (each an Administrator). Administrators can invite and remove Users, connect and disconnect other services, change your plan and cancel. We may act on the instructions of any Administrator.

2.5 Keeping your account secure. Keep passwords and other credentials confidential, do not share log-ins between people, and switch on multi-factor authentication where we offer it. If you choose not to, you accept the extra risk. Tell us straight away at support@delli.com if you think someone has accessed your account without permission.

2.6 Access by our team. Authorised DELLI staff may access your account and data where needed to support and onboard you (including checking that your orders are being read correctly), to keep DELLI AI secure, to investigate a suspected breach of these Terms, or to comply with the law. They are bound by duties of confidentiality.

3. The Service

3.1 What DELLI AI does. DELLI AI (the Service) is online software that helps food and drink makers run their wholesale business. Depending on your plan, it can read orders from your email and other channels, and from the stores and marketplaces you connect. It can manage your orders, customers, stockists, products and invoices, and pass orders to your other business systems. It includes an AI Assistant, available on the web, in our mobile app and on WhatsApp, which can answer questions and run tasks for you, including on a schedule (routines). You can also connect AI assistants you choose to your account. The Plan Details describe what each plan includes.

3.2 Availability. We aim to keep the Service available at all times. It may be unavailable for planned maintenance, which we try to schedule outside UK business hours and tell you about in advance, for urgent maintenance, or because of events outside our control. Unless an Order Form says otherwise, we do not promise any particular level of availability.

3.3 Support. You can contact our support team at support@delli.com. Our help pages explain how support works.

3.4 Changes to the Service. We are developing DELLI AI all the time and may add, change or remove features. We will not materially reduce the core features of your paid plan during a billing month you have paid for. If we plan to do so from your next renewal, we will give you at least 30 days' notice, and you may cancel before the change takes effect.

3.5 Beta features. We may offer features labelled beta, preview or early access, including pre-release versions of our apps (Beta Features). They are provided as they are, without any promise about how they work, and we may change or withdraw them at any time. We may start charging for a Beta Feature with at least 30 days' notice.

3.6 Mobile apps. If you download a DELLI app from an app store, the app store's terms and the app's own licence also apply.

4. Free evaluation, plans and payment

4.1 Free evaluation. Unless an Order Form says otherwise, a new account starts with a free 30-day evaluation, with every feature switched on. We do not ask for payment details, nothing is charged, and the evaluation ends automatically. It never turns into a paid plan by itself.

4.2 When the evaluation ends. When your evaluation ends, you can choose a plan in the Service. We keep processing your orders for a short grace period, shown in the Service. After that, if you have not chosen a plan, your account becomes read-only: you can still sign in and see your data, but new orders are not processed until you choose a plan.

4.3 Plans. Paid plans are priced by the features you choose and the number of orders we process for you each month, as set out in the Plan Details, which also explain how orders are counted. For larger volumes, we agree plans with you in an Order Form.

4.4 Plan size. We will not stop processing your orders because you go over your plan's monthly volume. If you are over it for two billing months in a row, we may move you to the plan that fits your volume from your next renewal, after giving you at least 14 days' notice. You can choose a different plan or cancel before then.

4.5 Changing your plan. You can change your plan in the Service. Changes start at your next billing date, and you keep your current plan until then.

4.6 Introductory offers. We may offer you an introductory price, such as £99 plus VAT for your first two months. Before you accept, we will show you the price that applies afterwards and the date of your first charge at that price, and we will email you at least 7 days before the offer ends. When it ends, the plan you chose starts automatically at that price. An offer is for your business only, and cannot be transferred, exchanged for cash or combined with another offer unless we say so.

4.7 Billing and renewal. Your paid plan starts on the day you complete checkout, and that day becomes your monthly billing date. We charge in advance for each billing month. Your plan renews automatically every month, and we will charge you on each billing date, until you cancel under section 15.

4.8 Paying. Payments are processed by Stripe. By choosing a plan, you authorise us, through Stripe, to charge your payment method for the fees and VAT on each billing date. You may need to confirm a payment with your bank. You can update your payment details, billing address and VAT number, and download invoices, in your billing settings.

4.9 VAT and taxes. Our prices are in pounds sterling and exclude VAT, which we add at the rate that applies. You are responsible for any other taxes, bank charges and currency conversion costs.

4.10 Failed payments. If a payment fails, we will tell you, and will try to take it again over the following days. You keep access for at least 7 days after we first tell you. If the payment is still not made, we may suspend your account until it is, and if it remains unpaid we may end your plan. You can restore access at any time by paying what is due.

4.11 Invoiced customers. If an Order Form says we will invoice you, invoices are due within 14 days unless the Order Form says otherwise. We may charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.

4.12 Refunds. Fees are not refundable, including for part of a billing month or for orders you did not use, except: (a) if we end the Agreement for convenience, or you end it because of a change to these Terms that is to your detriment, when we will refund fees paid for the period after it ends; (b) if we charged you in error; (c) where these Terms say otherwise; or (d) where the law requires a refund.

4.13 Disputed charges. If you think a charge is wrong, please tell us within 30 days, before contacting your card issuer. You must still pay any part you do not dispute.

4.14 Price changes. We may change our prices, or how we count orders, by giving you at least 30 days' notice by email. The change applies from your first billing date after the notice period, and you may cancel before then. Prices agreed in an Order Form, and introductory offers, stay the same for the period agreed.

5. Your data

5.1 You own your data. You own the information that you and your Users put into the Service or that it collects for you from your connected services, including what our AI produces from it (Customer Data).

5.2 Our permission to use it. You give us permission to host, copy, process, display, analyse and adapt Customer Data as needed to provide, support and secure the Service, to perform the Agreement and to comply with the law. Our service providers may do the same on our behalf.

5.3 Checking accuracy. We may keep limited samples of Customer Data, and review AI Assistant conversations, to check and improve the accuracy and safety of the Service. For this purpose we act as an independent controller, use only what we reasonably need, keep samples for no longer than 12 months, and never share them with other customers. We will not use data from your Shopify store, or content received from Google APIs, for this purpose unless you agree.

5.4 No AI training. We do not use Customer Data to train or fine-tune any AI model, and the AI providers we use are not allowed to either.

5.5 Usage and aggregated data. We may collect information about how the Service is used and performs (Usage Data), and create information that is aggregated and anonymised so that it does not identify you, your customers or any individual (Aggregated Data). We own Usage Data and Aggregated Data and may use them to run, improve and develop our services. We will only share Aggregated Data outside DELLI if it combines data from at least five customers, and we will not include data from your Shopify store without your consent.

5.6 Your customers. We will not use your Customer Data to market our other services, including the delli.market marketplace, to your customers, or contact your customers except as needed to provide the Service to you.

5.7 Personal data. When Customer Data includes personal data, you are the controller and we process it for you as your processor under the DPA. Our Privacy Policy (delli.ai/legal/privacy) explains how we handle personal data we control, such as information about your Users and billing. You are responsible for having a lawful basis for the personal data you put into or connect to the Service, and for giving people the privacy information the law requires.

5.8 Security. We protect Customer Data with appropriate technical and organisational measures, as described in the DPA.

5.9 Requests from authorities. If a public authority asks us for Customer Data, we will try to redirect the request to you and, unless the law prevents it, tell you promptly.

5.10 Keep your own records. The Service is not a backup or archive. You are responsible for the accuracy of Customer Data and for keeping your own copies of records you need.

6. Connected services

6.1 What they are. You can connect DELLI AI to products and services provided by other companies (connected services), such as email and messaging, online stores, accounting software, inventory and production systems, warehouses and fulfilment providers, wholesale marketplaces, and AI assistants you choose. The services available are shown in the Service.

6.2 Your permission. When you connect a service, you confirm that you are allowed to, and you authorise us to access it, and to read, create, update and delete information in it, as needed for the features you use. This is limited to the permissions you grant when you connect it. Where a connected service needs a username, password, key or token, you authorise us to store it securely and use it for this purpose.

6.3 Their terms and charges. Connected services are provided by their own providers, under their own terms and privacy policies. You must comply with those terms, and a breach of them is also a breach of these Terms. Your relationship with each provider is between you and them. You are responsible for any charges they make, such as messaging fees, marketplace commission or subscription fees. A service being available in DELLI AI does not mean we endorse it, and we are not responsible for it.

6.4 If a connection stops working. Providers can change, limit or withdraw their services, or our access to them, at any time, and this may stop a feature working. We will make reasonable efforts to keep supported connections working, but cannot promise they will remain available. We may stop supporting a connection, or disable it, if the provider requires it or for security reasons. We will tell you where we can. This is not a breach of the Agreement.

6.5 Records in your systems. Records that DELLI AI creates or changes in a connected service, such as orders, invoices, customers, products, stock levels and order confirmations, are created on your behalf. You are responsible for checking them. Once a record is in a connected service, that service governs it, and deleting your DELLI AI account does not delete it there.

6.6 Disconnecting. You can disconnect a service at any time in DELLI AI or in the service itself. We then stop accessing it, and revoke our access where the provider allows. Data already copied into DELLI AI stays in your account until it is deleted under section 15.

6.7 AI assistants you connect. If you connect an AI assistant or other application that we do not provide, information it retrieves from your account goes to its provider under your terms with them. Actions it takes in your account are your instructions to us, and we do not ask you to approve each one.

6.8 Shopify. If you connect a Shopify store: DELLI, not Shopify, is responsible for DELLI AI and for the data we receive from your store; Shopify is not liable for DELLI AI and does not support it; and nothing in the Agreement restricts how you run your store or your business, or stops you using other apps.

6.9 Google. If you connect a Google account, we handle information from Google APIs in line with the Google API Services User Data Policy, including its Limited Use requirements, as explained in our Privacy Policy.

7. AI features

7.1 What they do. DELLI AI uses artificial intelligence, including models from third-party providers, to read and sort messages, pick out and match order details, write summaries and suggestions, answer questions, and carry out tasks through the AI Assistant and routines. We call what these features produce AI Output.

7.2 AI can be wrong. AI Output is produced automatically. It can be inaccurate, incomplete or out of date, even when it looks certain, and the same request can give different results. You must check AI Output before you rely on it, accept it or send it to anyone, including extracted orders, prices, quantities, delivery details, customer matches, invoices and messages. You are responsible for decisions you make using it.

7.3 Actions and automations. When you ask the AI Assistant to do something, or set up a routine or automation (for example, to create records in a connected service or send emails to your customers from your connected mailbox), you are instructing us to do it for you, and you are responsible for it as if you had done it yourself. Routines, requests you make by WhatsApp, and AI assistants you connect may act without asking you to approve each action. Set up and test automations carefully, keep an eye on them, and switch them off if they are not working as you expect.

7.4 Being open about AI. You are responsible for messages DELLI AI drafts or sends for you. You must not use it to pretend to be a particular person, or to mislead anyone about whether they are dealing with AI, and you must tell people they are dealing with AI where the law requires.

7.5 The models we use. We choose the AI models behind DELLI AI and may change them, including to a different provider, subject to section 5.4 and the DPA. A new model may behave differently.

7.6 Manipulation. Emails, documents and web pages that DELLI AI reads may contain text designed to manipulate it. We take reasonable steps to guard against this, but please treat unexpected actions with care and tell us about them.

7.7 Who owns AI Output. As between us, you own AI Output produced from your Customer Data, to the extent any rights exist in it. Similar output may be produced for other customers.

7.8 Feedback on AI. If you rate or comment on AI Output, we may use your feedback, and the conversation it relates to, as described in section 5.3.

8. Acceptable use and fair use

8.1 You may use DELLI AI only for your own business, and in line with the law and our help pages.

8.2 You must not, and must not let anyone else:

  1. use DELLI AI in breach of any law, including data protection, anti-spam, food information, competition and sanctions laws;

  2. connect a mailbox, phone number, store or other account you are not authorised to connect, or process personal data without a lawful basis;

  3. send spam or unsolicited bulk messages, or break the rules of any messaging channel you use through DELLI AI;

  4. deliberately put sensitive personal data (such as health information), payment card numbers, bank log-in details or children's personal data into DELLI AI. Information that arrives unprompted in a connected mailbox is not a breach of this rule;

  5. upload malware, or content that is unlawful, infringing, defamatory or offensive;

  6. try to access other customers' data, or any system without permission, or test DELLI AI's security without our written agreement;

  7. disrupt DELLI AI or put an unreasonable load on it, including by scraping, bots or going over published rate limits;

  8. copy, decompile or reverse engineer DELLI AI, except where the law allows it;

  9. resell, rent or share DELLI AI with anyone else, unless an Order Form allows it;

  10. misuse DELLI AI or our confidential information to build a competing product;

  11. try to get around plan limits, the one-evaluation rule or the safeguards on our AI features, including by trying to make them reveal their instructions; or

  12. abuse, threaten or harass our staff.

8.3 Access keys. If we give you API keys or let you connect AI assistants or other software to your account, keep the credentials secret and use them only for your own account. You are responsible for anything that software does.

8.4 Fair use. Our plans are designed for normal use by one business. If your use of DELLI AI, such as the AI Assistant, routines, messages or Users, is far above normal and affects the Service or our costs, we will contact you. If it does not come down within 14 days, we may limit it or ask you to move to a suitable plan or Order Form. We may also apply reasonable rate limits.

8.5 If you break this section, we may take reasonable steps straight away, such as removing content, disabling a connection or suspending your account under section 15.

9. Intellectual property, feedback and references

9.1 Ours. We and our licensors own DELLI AI, including its software, AI features, designs, help pages and the DELLI name and logos, and any improvements to them. Nothing in the Agreement transfers those rights to you.

9.2 Your licence. While the Agreement is in force, and subject to it, you and your Users may use DELLI AI for your business. This right is non-exclusive and you cannot transfer or sublicense it.

9.3 Custom work. If we agree in an Order Form to build something specifically for you, such as a new integration, we own it and may offer it to other customers, but never with your Customer Data or confidential information.

9.4 Feedback. If you send us ideas or suggestions about DELLI AI, we may use them freely, without paying you or naming you.

9.5 References. We may list your business name and logo among our customers on our website and in sales materials. You can ask us to stop at any time by emailing legal@delli.com, and we will stop using them in new materials within 30 days. We will only publish a quote, case study or other joint publicity with your agreement.

10. Confidentiality

Each of us will keep the other's confidential information secret, use it only for the Agreement, and share it only with staff, contractors, service providers and advisers who need it and are bound by similar duties of confidence, or where the law requires. Confidential information includes Customer Data, pricing and non-public information about DELLI AI. It does not include information that is public (other than through a breach of this section), that the recipient already had, or that it developed independently. This section continues for five years after the Agreement ends, and for as long as we hold Customer Data.

11. Your products and your business

11.1 Your products. You are solely responsible for the food and drink you make and sell. That includes its safety and quality, labelling, allergen and nutrition information, traceability and recalls, excise duty on alcohol, age-restricted sales, and compliance with food law.

11.2 Your product information. Product, allergen and price information in DELLI AI comes from you or your connected services. We do not check it, and you are responsible for keeping it accurate.

11.3 Your trading. You are responsible for your prices, stock, orders, invoices, deliveries and returns, and for your contracts and dealings with your customers, suppliers and carriers, including whether your customers pay you.

11.4 Our role. We provide software. We are not a party to your sales, we do not act as your agent, and we do not guarantee any order, sale or payment.

11.5 No professional advice. Insights, suggestions and answers in DELLI AI are there to help you run your business. They are not legal, tax, accounting, financial or food safety advice, so take your own professional advice where you need it.

12. Warranties and disclaimers

12.1 Our promise. We will provide DELLI AI with reasonable skill and care, and during a paid plan it will work materially as described in our help pages.

12.2 If it does not. If DELLI AI does not work as promised in section 12.1, tell us within 60 days of the problem first happening, with enough detail for us to reproduce it. We will make reasonable efforts to fix it or give you a reasonable workaround. If we cannot do so within a reasonable time, either of us may end the affected plan, and we will refund the fees you have paid for the period after it ends. This is your only remedy if DELLI AI does not work as described.

12.3 This promise does not cover problems caused by: using DELLI AI other than as our help pages describe; Customer Data; a connected service or other product we do not provide; changes made by anyone else; a free evaluation; or a Beta Feature.

12.4 Your promises. You promise that: you have all the rights and permissions needed to give us Customer Data, to connect each connected service and for us to use them as these Terms describe; you have given people the privacy information the law requires, including your customers' staff whose details appear in orders; and your use of DELLI AI complies with the law and with your connected services' terms.

12.5 What we do not promise. Apart from the promises in these Terms, DELLI AI and AI Output are provided as they are and as available. To the extent the law allows, we exclude all other terms implied by law. In particular, we do not promise that DELLI AI will:

  1. be uninterrupted, error-free or completely secure;

  2. find every order or message in a connected mailbox or channel, or read, sort or match each one correctly;

  3. produce AI Output that is accurate, complete or suitable for your purposes;

  4. stay compatible with any connected service; or

  5. meet your particular needs.

12.6 Free evaluation and Beta Features. A free evaluation and Beta Features come without any promise, support commitment or service level.

12.7 We are not responsible for delays or failures caused by the internet or other networks we do not control.

13. Our liability to you (please read carefully)

This section limits what we are responsible for if something goes wrong, and caps the amount we would have to pay you.

13.1 What we do not limit. Nothing in the Agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow to be limited.

13.2 Your liability that is not capped. The caps in section 13.5 do not apply to your obligation to pay our fees, to your indemnity in section 14, or to your liability for breaking section 8 or infringing our intellectual property.

13.3 Losses neither of us is liable for. Subject to sections 13.1 and 13.2, neither of us is liable to the other, however it arises (including in negligence), for: loss of profits, revenue or sales; loss of business, contracts or opportunity; loss of anticipated savings; loss of goodwill or reputation; wasted expenditure or management time; or any indirect or consequential loss.

13.4 Losses we are not liable for. Subject to section 13.1, we are not liable for loss to the extent it is caused by:

  1. your reliance on AI Output, or on an order, invoice, customer match or message created by DELLI AI, that you did not check before relying on it or before it was sent or synced, except where DELLI AI failed to follow your instructions or settings;

  2. a connected service, payment provider, mailbox or messaging provider, carrier or any other third party who is not acting for us;

  3. Customer Data, or instructions you or your Users give through DELLI AI;

  4. your failure to follow our help pages, keep your credentials secure, keep your own records or tell us promptly about a problem; or

  5. your products, or the acts or omissions of your customers, suppliers or carriers.

13.5 Caps. Subject to sections 13.1 to 13.4:

  1. General cap. Each party's total liability arising out of or in connection with the Agreement is limited to the greater of: the fees you paid and owe us in the 12 months before the event giving rise to the claim; and £500.

  2. Free evaluation. Our total liability arising from a free evaluation or a Beta Feature is limited to £100, instead of the general cap.

13.6 Lost data. If Customer Data is lost or damaged because of our breach, we will make reasonable efforts to restore it from our most recent backup. That is our only obligation for lost or damaged data.

13.7 Telling us about claims. If you want to make a claim, you must tell us about it in writing within 12 months of becoming aware of it. This does not apply to claims for unpaid fees.

13.8 Why these limits are fair. These limits reflect the price of DELLI AI, the fact that both of us can insure against our own risks, and that you are best placed to check your orders, invoices and AI Output before relying on them.

14. Your indemnity

14.1 What you cover. You will compensate DELLI, and its staff and contractors, for all losses, liabilities, fines and penalties (where the law allows them to be covered), and reasonable costs including legal fees, arising from any claim, complaint or regulatory action by a third party relating to:

  1. Customer Data, including a claim that it infringes someone's rights, or that our processing of it in line with your instructions breaks data protection or other law;

  2. a breach of section 8, or of the terms of a connected service, by you or your Users;

  3. any email, message, order, invoice or record that DELLI AI sends, creates or syncs on your or your Users' instructions;

  4. your products, including their safety, labelling, allergen information or recall, and your dealings with your customers, suppliers and carriers; or

  5. your breach of the law.

This does not apply to the extent the claim arises from our breach of the Agreement or the DPA, or our negligence.

14.2 Handling claims. If we want to rely on section 14.1, we will tell you promptly about the claim, let you control its defence and settlement (though you may not settle in a way that admits fault on our behalf without our agreement), give you reasonable help at your cost, and not admit anything about the claim without your agreement.

14.3 Intellectual property claims. We give an indemnity against third-party intellectual property claims about DELLI AI only where an Order Form says so.

15. Suspension, cancellation and termination

15.1 How long the Agreement lasts. The Agreement starts when you accept these Terms and continues until it ends under this section. Paid plans run month to month, or for the term in an Order Form.

15.2 Cancelling. You can cancel a monthly plan at any time in your billing settings or by emailing support@delli.com. Cancellation takes effect at the end of your current billing month. You keep access until then and are not charged again. If you have an Order Form, you can cancel as it says or, if it says nothing, on 30 days' written notice ending at the end of a billing month.

15.3 Suspension. We may suspend all or part of your account, or a connection, if: a payment is overdue as described in section 4.10; you break section 2.5 or section 8; we reasonably believe your use puts DELLI AI, us, our customers or anyone else at risk; or the law, a regulator or a connected service provider requires it. Where we can, we will warn you first. We will keep any suspension to what is reasonably needed, and lift it once the reason has gone.

15.4 Ending the Agreement for a serious breach. Either of us may end the Agreement straight away by written notice if the other: seriously breaks the Agreement and does not put it right within 14 days of being asked to; or becomes insolvent, enters administration or liquidation, or stops trading.

15.5 Our right to end the Agreement. We may end the Agreement, or stop offering a feature, by giving you at least 30 days' notice. We will refund any fees you have paid for the period after it ends.

15.6 Inactive accounts. If your account has been read-only or suspended, or no one has signed in, for 12 months in a row, we may close it and delete its data after giving you at least 30 days' notice by email.

15.7 When the Agreement ends. Your right to use DELLI AI ends, any unpaid fees become due, and we disconnect your connected services. Sections that are meant to continue, including sections 5, 9.1, 9.4, 10, 11, 12.5, 13, 14, 15.8 and 17 and the DPA (for as long as we hold Customer Data), continue to apply.

15.8 Your data when the Agreement ends.

  1. Exporting. For 30 days after the Agreement ends, you can ask us for a copy of your Customer Data, which we will provide in a commonly used format, such as CSV.

  2. Deletion. After that, we delete Customer Data from our live systems in line with our data retention practices, normally within 60 days, and from our backups as they expire. You can ask us to delete it sooner. We may keep data where the law requires it, and keep Aggregated Data and accuracy samples as described in section 5.

  3. Deleting your account yourself. An Administrator can delete your account in your settings. Deletion starts straight away and cannot be undone, so export anything you need first.

  4. What stays elsewhere. Records we created in your connected services stay there. We keep our own billing records about your account for the period set out in our Privacy Policy.

16. Changes to these Terms

16.1 We may change these Terms. We will give at least 30 days' notice of any significant change by email to your Administrators and in DELLI AI. The change takes effect on the date in the notice, which will not be before your next billing date after the notice period.

16.2 We may make a change sooner where the law or a regulator requires it, to deal with a security risk, or where the change does not disadvantage you, such as describing a new feature.

16.3 If a significant change disadvantages you, you may end the Agreement before it takes effect, and we will refund any fees you have paid for the period after it ends.

16.4 If you have an Order Form with a fixed term, a change that disadvantages you will not apply until that term renews, unless the law requires it or you agree.

17. General

17.1 Events outside our control. Neither of us is responsible for delay or failure caused by events outside our reasonable control, such as failure of the internet or public networks, a cyber-attack we could not reasonably have prevented, pandemic, war, or government action. This does not excuse paying fees. If such an event lasts more than 60 days, either of us may end the Agreement by notice.

17.2 Transferring the Agreement. You may not transfer the Agreement without our written agreement. We may transfer it to a company in our group or to a buyer of all or part of our business, and will tell you if we do. We may use subcontractors, and remain responsible for them.

17.3 Notices. We will send notices to the email address of any Administrator or show them in DELLI AI. You can send notices to legal@delli.com, except that you can cancel as described in section 15.2. An email is treated as received when sent, if sent before 5pm on a working day, and otherwise at 9am on the next working day.

17.4 Entire agreement. The Agreement is the whole agreement between us about DELLI AI and replaces any earlier agreement about it. Neither of us has relied on any statement not set out in it, except in the case of fraud. Terms in any purchase order or similar document you send us do not apply.

17.5 Changes to the Agreement. Apart from changes under section 16, a change to the Agreement only applies if agreed in writing, including in an Order Form.

17.6 No waiver. If either of us delays or does not enforce a right, we can still enforce it later.

17.7 If part is invalid. If a court finds any part of the Agreement invalid, the rest continues to apply.

17.8 Third parties. Only you and we can enforce the Agreement, except that the people covered by section 14.1 can enforce it.

17.9 Our relationship. Nothing in the Agreement makes either of us the other's partner, agent or employee.

17.10 Compliance. Each of us will comply with anti-bribery law and sanctions law in connection with the Agreement.

17.11 Complaints and disputes. If you are unhappy with DELLI AI, please contact our support team first, and we will try to resolve it with you within 30 days.

17.12 Governing law and courts. The Agreement, and any dispute about it or its formation, including non-contractual disputes, is governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may bring a claim for unpaid fees in any court that has jurisdiction.
